General Terms and Conditions (GTC)

1. Scope of Application

1.1 These General Terms and Conditions (hereinafter the “GTC”) govern the contractual relationship between the directory “privateschools switzerland”, Schachenmatten 9, 8906 Bonstetten, Switzerland (hereinafter the “Provider”), and its customers (hereinafter the “Customer”) in connection with the provision of services.
1.2 The GTC are governed by Swiss law and apply in Switzerland and abroad, provided that the parties expressly or tacitly accept them. Any amendments or ancillary agreements shall be valid only if agreed by both parties in writing.
1.3 Should any provision of these GTC be invalid or incomplete, the validity of the remaining provisions shall not be affected. In place of the invalid or missing provision, a provision shall apply which comes as close as possible to the economic purpose of the original provision.

2. Registration, Orders and Prices

2.1 Registrations and orders are binding upon confirmation by the Provider and shall be invoiced.
2.2 The Customer undertakes to provide the Provider with all necessary information and documents within the specified period and, at the latest, by the submission deadline stated in the confirmation email.
2.3 If data for the printed brochure are submitted after the submission deadline stated in the confirmation email, such data cannot be taken into account. Any resulting costs shall be borne by and invoiced to the Customer.
2.4 Three (3)-year subscription: The Customer is entitled to submit new data for each edition. If data for the printed brochure are submitted after the submission deadline, the existing data from the current brochure shall be used for printing.
2.5 All prices are stated in Swiss francs (CHF) and include the statutory Swiss value added tax (VAT). The current prices are published on the Provider’s website under the relevant section.
2.6 Any additional costs (e.g. packaging and/or shipping costs) shall be shown separately and invoiced.

3. Conclusion of Contract

A contract shall be deemed concluded as soon as the Customer accepts the Provider’s offer in writing, electronically (by email and/or web contact form) or orally, and the Provider confirms such acceptance.

4. Proof Approval

The “approval for print” shall be deemed granted by the Customer if no feedback is received by the Provider within the specified period and, at the latest, by the submission deadline communicated by the Provider.

5. Payment Terms

Invoices are payable within thirty (30) days of receipt without deduction, unless otherwise agreed.
In the event of late payment, the Provider reserves the right to charge reminder fees and statutory default interest in accordance with Swiss law.

6. Performance of Services

The Provider undertakes to perform the agreed services in a professional manner and with due care.

7. Liability

The Provider’s liability shall be limited to intent (wilful misconduct) and gross negligence.
Any liability for indirect damages, consequential damages and loss of profit is excluded to the extent permitted by law.

8. Data Protection

The Provider undertakes to process personal data in accordance with applicable Swiss data protection law and, where applicable, the EU General Data Protection Regulation (GDPR). Further details are set out in the Provider’s Privacy Policy.

9. Amendments to the GTC

The Provider reserves the right to amend these GTC at any time. Amendments shall be communicated in an appropriate manner and shall be deemed accepted unless the Customer objects in writing within thirty (30) days.

10. Governing Law and Jurisdiction

These GTC shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict
of law rules. The exclusive place of jurisdiction shall be 8906 Bonstetten, Switzerland, subject to any mandatory statutory places of jurisdiction.
